User End License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and PROBr Ltd (“PROBr,” “we,” “our,” or “us”), governing your access to and use of the PROBr mobile and web applications (the “App”) and related services (collectively, the “Services”).

By downloading, installing, or using the PROBr App, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must immediately stop using the App and delete it from your device.

1. License Grant

PROBr grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, educational, or professional use in connection with research participation and management, subject to the terms of this Agreement.

You may not:

• Modify, copy, distribute, sell, or lease any part of the App or its content.
  
   
• Reverse engineer, decompile, or extract the App’s source code.
  
   
• Use the App for any unlawful or unauthorized purpose.
  
   

2. User Accounts

To access PROBr, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials.

You agree not to:

• Create an account under false identity or for another person without consent.
  
   
• Access another user’s account without permission.
  
   

3. User-Generated Content

The App allows users (researchers, organizations, and participants) to post content such as study listings, comments, images, or project details (“User Content”).

By submitting or posting content through PROBr, you agree that:

• You own or have the necessary rights to the content.
  
   
• Your content will not contain false, misleading, or harmful information.
  
   
• Your content will not be discriminatory, offensive, obscene, or abusive.
  
   

You grant PROBr a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and improving the Services.

No Tolerance for Objectionable Content

PROBr strictly prohibits:

• Hate speech, harassment, or threats.
  
   
• Discriminatory remarks based on race, gender, ethnicity, or religion.
  
   
• Spam, misleading study ads, or fraudulent postings.
  
   
• Content that violates privacy, copyright, or intellectual property laws.
  
   

4. Moderation and Reporting

PROBr actively monitors for objectionable content and behavior.

Users can:

• Report inappropriate content or users directly from within the App.
  
   
• Block users engaging in abusive behavior.
  
   

Reports are reviewed within 24 hours, and PROBr may remove content or suspend accounts violating this Agreement.

We reserve the right to remove content or terminate accounts at our discretion to maintain community safety and integrity.

5. Account Termination and Deletion

You may delete your account at any time from within the App. Account deletion will permanently remove your profile, data, and uploaded content.

PROBr may suspend or terminate accounts that violate these terms, including for abusive or fraudulent activity.

6. Data and Privacy

Your privacy is important to us. Data collected through the App is processed according to our Privacy Policy.

• PROBr complies with applicable data protection laws, including HIPAA (U.S.) and GDPR (U.K./E.U.).
  
   
• We do not sell user data.
  
   
• User data is used solely to provide and improve the Services, facilitate research connections, and ensure compliance.
  
   

7. Intellectual Property

All intellectual property rights in the App, including software, trademarks, and branding, remain the property of PROBr or its licensors.

You may not use PROBr’s name, logo, or branding without written consent.

8. Disclaimer of Warranties

The App is provided “as is” and “as available.”

PROBr makes no warranties, express or implied, about the accuracy, reliability, or completeness of the content or services offered.

You acknowledge that participation in research studies is voluntary and that PROBr acts solely as a facilitator, not as a medical provider or research sponsor.

9. Limitation of Liability

To the maximum extent permitted by law, PROBr and its affiliates are not liable for any indirect, incidental, or consequential damages arising from:

• Use of or inability to use the App;
  
   
• User-generated content or third-party links;
  
   
• Participation in research studies.
  
   

10. Governing Law

This Agreement shall be governed by the laws of the State of Florida, USA, and where applicable, the laws of England and Wales for users located in the United Kingdom.
